Notice of Group Reorganization

G.U. Group Co., Ltd. and Japan Blockchain Foundation Co., Ltd. hereby announce that, for the purpose of  group reorganization, the Board of Directors of G.U. Group Co., Ltd. resolved on February 13, 2026 to approve a company split and merger, and the Board of Directors of Japan Blockchain Infrastructure Co., Ltd. resolved on the same date to approve the merger. Accordingly, the two companies entered into a merger agreement on the same date.
